This Shop Agreement ("Agreement") is a binding agreement between Cloudrails ("we", "us", or "Cloudrails") and the shop, business, or independent host ("Shop") using the Cloudrails platform.
By registering as a Shop and using the Cloudrails platform, you agree to the terms below.
Cloudrails provides software tools that allow Shops to display rental inventory and accept bookings. Cloudrails is NOT a party to any rental transaction and does not process payments, handle disputes, or guarantee bookings.
The relationship between Cloudrails and the Shop is that of a software provider and user. Nothing in this Agreement creates a partnership, agency, or joint venture.
Shops agree to pay a recurring subscription fee for access to the platform at the rate listed on the Cloudrails pricing page at the time of registration, or as subsequently communicated. Fees may be updated with notice. Failure to pay may result in suspension or termination of access.
The Shop agrees to:
All payments between Shop and Renter are handled directly by the Shop. Cloudrails does NOT process, collect, or manage payments and is not responsible for any disputes, refunds, or chargebacks.
Cloudrails facilitates booking requests and confirmations. The Shop is solely responsible for fulfilling bookings and managing availability.
Shops retain ownership of their content but grant Cloudrails a license to display, reproduce, and use listings, images, and descriptions within the platform.
Shops may not:
Cloudrails may suspend or terminate Shop accounts at any time for violations of this Agreement or misuse of the platform.
The platform is provided "as is" without warranties. Cloudrails does not guarantee uptime, performance, or results.
Cloudrails does not guarantee uninterrupted availability of the platform. Cloudrails is not liable for lost bookings, lost revenue, or any damages resulting from service interruptions, downtime, maintenance, or technical failures, regardless of cause.
Cloudrails is not liable for any damages, losses, or disputes arising from rentals, user interactions, or platform use.
The Shop agrees to indemnify and hold harmless Cloudrails from any claims arising from:
This Agreement shall be governed by and construed in accordance with the laws of the State of New York, venue shall be any court located in New York City or Long Island.
This Agreement, together with the Terms of Service, represents the full agreement between Cloudrails and the Shop.
